You cannot register a company in India — or file almost anything on the MCA portal — without a Digital Signature Certificate. Here is which DSC every director and signatory needs, and how it fits into incorporation.

Why MCA requires a DSC

Every form filed with the Ministry of Corporate Affairs (MCA) — from incorporation to annual returns — must be digitally signed. The MCA V3 portal, SPICe+ incorporation, DIR-3 KYC and ROC e-forms all rely on a DSC to verify that the director or professional signing is who they claim to be.

Which DSC do directors need?

Each proposed director and subscriber needs a Class 3 Individual certificate (Signing), issued in their own name after paperless eKYC. The company's authorised signatory may also need a Class 3 Organisation certificate for ongoing ROC and tax filings. Chartered Accountants and Company Secretaries certifying the forms use their own individual DSCs too.

DSC in the SPICe+ incorporation flow

During SPICe+ company registration you will: reserve the name, fill company details, and then digitally sign the SPICe+ form, AGILE-PRO (GST/EPFO/ESIC) and the e-MoA/e-AoA with each subscriber's and director's DSC. Because every signatory signs, it is best to get all directors' certificates ready before you start the filing.

How to register your DSC on MCA V3

Log in to the MCA V3 portal, open your profile, choose Associate DSC, run the MCA DSC utility, select your Class 3 certificate from the token and confirm. Each director associates their own DSC once, then uses it to sign forms going forward.
